A Nevada non-disclosure agreement is a written contract used to prohibit the unauthorized sharing of proprietary and confidential business information. Those who sign a non-disclosure agreement, or “NDA,” may be exposed to privileged information due to their position of employment, contractual arrangement with a client, or other business relationship. Should confidential information be willingly or unknowingly revealed under an NDA, the disclosing party could face legal action and be forced to pay monetary damages.
If only one (1) party is receiving confidential information, the form will be structured as a “unilateral” agreement (common for employer-employee relationships). Alternatively, a “mutual” NDA is used when both parties receive information that must be kept secret.
