A Florida non-disclosure agreement is a written arrangement between two (2) parties where one or both of the parties will be sharing confidential information with the other and want to ensure it is not misused. NDAs are very common in the business world where trade secrets are closely guarded and misappropriation could injure a company’s reputation, competitiveness, or their employees and clients. In most cases, one party will be sharing confidential information with the other, which is referred to as a unilateral agreement. When the trade secrets of both parties are being shared and safeguarded, it is a mutual agreement.
