An Illinois non-disclosure agreement is a contract used to prevent the dissemination of trade secrets. The form defines the parties’ relationship, their obligations, and provides examples of what constitutes confidential information. Depending on the NDA’s structure, it can either bind one or all of the involved parties to its confidentiality obligations.
Breach of NDA
Parties can seek injunctive relief or damages if their protected information was disclosed. In Illinois, such legal action can be sought within
five years from discovering the breach.

- It can derive economic value from not being known or easily reproducible by the owner’s competitors.
- It is being kept confidential by the owner.
