A Maryland non-disclosure agreement is a confidentiality contract that obligates the parties thereto to hold and maintain the secrecy of proprietary information. Employers will often employ this form to share information with employees while safeguarding it from competitors or the public. The contract participants could face a lawsuit if they breach the terms set forth in the document. The term of an NDA is indefinite, and a signing party’s liability will continue until the confidential information the document protects becomes public knowledge, or until the owner of the trade secret releases them from their legal obligation.
