A Florida non-disclosure agreement creates an arrangement between signing parties wherein confidential information is shared and protected. By signing an NDA, the party gaining access to the other’s information agrees not to disclose it without consent. Breach of NDA

Florida law states that if legal action is to be pursued for a breach of contract, the case must be filed within five years of the breach occurring.[1]

If a breach involves the misappropriation of a trade secret, cases must be filed within three years of discovery.[2]

As stated in Florida statutes, a trade secret is information that[3]:

  • Benefits the owner in business because it is kept secret from those who would benefit from its knowledge or use.
  • Undergoes safeguarding measures to protect its confidentiality.
