An Idaho non-disclosure agreement is a legal document used throughout to ensure confidential information shared between two (2) parties is not subject to misappropriation. Because trade secrets are highly valuable to a company, NDAs are presented to individuals and other entities working with that company so they can safeguard these secrets and seek legal action if they are improperly disclosed.
This document will establish who the parties are, who is sharing information (can be both parties), what constitutes confidential information, what obligations are assumed, and how the NDA will be enforced. If both parties are sharing information with each other, it’s known as a mutual non-disclosure agreement; otherwise, it’s referred to as a unilateral agreement.
