An Indiana non-disclosure agreement establishes a written arrangement between two (2) parties to refrain from disclosing trade secrets. These types of agreements can be used when both parties are sharing confidential information with each other (mutual), or when only one party is divulging information to the other (unilateral).
Trade secrets are intellectual property owned by a company from which economic value is derived due to its confidential nature. The misappropriation (misuse or dissemination) of trade secrets can be extremely harmful to a company; therefore, maintaining their confidentiality through an NDA is one of the most common methods of achieving this.
