A New Mexico non-disclosure agreement, or NDA, is a legal document restricting a recipient of confidential information’s ability to share it with outside parties. Wrongfully divulging confidential information can impose a negative financial impact on the party who rightfully holds the information. To prevent wrongful disclosure, an NDA can be implemented whereby the recipient of confidential material is obligated to maintain secrecy until the information becomes public knowledge. Breaching the contract affords several legal remedies to the party whose information was misused, including monetary damages and attorneys’ fees.
