A Tennessee non-disclosure agreement is used to restrict the disclosure of confidential information to unauthorized parties. NDA’s can be tailored to state whether one party is sharing confidential information that the other cannot disclose (unilateral) or both parties are sharing restricted information that neither can share (mutual).

Breach of NDA

An action for breach of NDA must be brought within six years of discovery of the breach.[1]

For misappropriation claims, the injured party will have three years from the date of discovery (or from when it should have been discovered with due diligence) to bring an action against the offending party.[2]
