Vermont non-disclosure agreement protects the confidentiality of sensitive information by forbidding its disclosure to outside parties. NDAs are often used when trade secrets or proprietary information that would lose value if revealed to the public or a competitor must be shared with another party, such as a new employee, a business partner, or a client.

Breach of NDA

If a party fails to uphold its contractual obligations, it may face litigation. In Vermont, the injured party must take action within six years of a breach of an NDA.[1]

A six-year statute of limitations also applies to the misappropriation of trade secrets. The deadline is set from the date the misappropriation was either discovered or should have been discovered through reasonable due diligence.[2]
