A South Dakota single-member LLC operating agreement is a document created by the sole and founding member of a limited liability company to establish the nature of the business and the relationship between the member and the company. The operating agreement is not filed with the state and the provisions therein may vary greatly between entities. Generally, there are clauses that will be included in almost all LLC operating agreements, such as entity information, member information, management style, contributions and distributions, and the process of dissolution.
