A Minnesota non-disclosure agreement is a document that protects sensitive information from being disclosed to unauthorized parties. NDAs can be either mutual or unilateral. A mutual NDA requires all parties to keep shared information private. A unilateral NDA establishes one party as the owner of the information while binding the other party to keeping it confidential.
Breach of NDA
Individuals who breach their NDA terms may face court action by the other party. Minnesota plaintiffs have three years from the discovery of misappropriation to file a lawsuit.[1]
Trade Secret: Defined
Information meets Minnesota’s statutory definition of a “trade secret” if[2]:
- It can independently create economic value by being kept confidential.
- It is not easily obtained by competitors.
- Its secrecy is protected by the owner.
